1. SWEEPSTAKES DESCRIPTION: The GIVING PROJECT SWEEPSTAKES (“Sweepstakes”) begins on or about January 17, 2021 at 12:01 AM Eastern Time (“ET”) and ends on February 15th, 2021 at 11:59 PM ET (“Entry Period”). All eligible Entries received during the Entry Period will be included in Sweepstakes drawing described in these Official Rules.
The Sweepstakes allows you to compete for exciting prizes and experiences provided by our partners. We also allow you to donate to our sponsors and the charitable causes they do. However, there is no purchase or donation necessary to enter.

3. ELIGIBILITY:
The Sweepstakes is open only to individuals who: (a) are at least 18 years of age as of January 17, 2021 (each, an “Entrant”); and (b) are legal residents of and reside within the 50 United States and the District of Columbia. Employees, officers and directors of Sponsor, The Giving Project LLC its respective parent and affiliate companies and advertising and promotion agencies, as well as members of the immediate families (spouses, parents, siblings and children, and each of their respective spouse, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to participate.
4. HOW TO ENTER:
The Sponsor creates relationships with various companies and individuals to create exciting prizes and experiences (collectively “prizes”). Prizes are then made available from time to time through sweepstakes. These sweepstakes create an awareness of a specific charity for each sweepstakes. Entering any sweepstakes sponsored by the Sponsor is free; however, any Entrant can opt to select to donate to the chosen charity while completing the online entry form.
There is one method of entry:
(a) Online: To enter online, visit the Sponsor’s website: www.givingproject.com (“Website”) and fully complete the entry form with the all the required information including the Essay as described below. By submitting your entry (“Entry” or “Entry Form”), you are agreeing to be bound by these Official Rules. All requested information on the Entry Form at the Website must be completed to enter and to be eligible to win. Incomplete entries will be disqualified. [LIMIT: You may enter a unique Entry as often as you like.] The [Administrator’s] database clock will be the timekeeper of this Sweepstakes.
Each Entrant completing an online form will have the option to also submit a donation for the Charity. No purchase or donation is necessary to enter the Sweepstakes.
LICENSE: By submitting an Entry, each Entrant grants Sponsor and/or its agents, if any, a perpetual, worldwide, irrevocable, royalty-free license to transform, edit, modify, reproduce, record, copy, exhibit distribute, transmit, publish, broadcast, perform, merchandise, sublicense, adapt, display, or otherwise use the Entry with or without modifications, in any way in any form or medium whether now existing or later developed, without limitation and without any compensation to the Entrant. Submission of an Entry further constitutes the Entrant’s consent to irrevocably assign and transfer to Sponsor any and all rights, title and interest in the Entry and the Essay, including, without limitation, all copyrights.
WARNING: ANY ATTEMPT BY AN ENTRANT OR OF ANY OTHER PERSON TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS. IF ANY SUCH ATTEMPT IS MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING, WITHOUT LIMITATION, REASONABLE ATTORNEY’S FEES) FROM ANY SUCH ENTRANT OR OTHER PERSON TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING SEEKING CRIMINAL PROSECUTION.
Sponsor, its agents and employees are not responsible for the inability of any Entrant to complete or continue an internet entry due to equipment malfunction, busy lines, inadvertent disconnections, unavailable network, server, Internet Service Provider (ISP) or other connections, communication failures or human error that may occur in the transmission, receipt or processing of entries, including any injury or damage to any computer arising from or relating to participation in the Sweepstakes. Any use of robotic, macro, automatic, programmed or like entry methods will void all such entries, and may subject that Entrant to disqualification. In addition, Sponsor, its agents and employees are not responsible for late, lost, misdirected, mutilated, illegible or incomplete Sweepstakes entries. No mechanically reproduced or automated entries permitted. Entry materials/data that have been tampered with or altered are void.

All expenses and costs associated with Grand Prize acceptance and use not expressly stated in the package description provided herein are the sole responsibility of winner, including all federal, state and local taxes.

7. RIGHT TO CANCEL OR SUSPEND SWEEPSTAKES:
If for any reason the Sweepstakes is not capable of running as planned, due to infection by computer virus, bugs, worms, trojan horses, denial of service attacks, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Sweepstakes, Sponsor reserves the right, at its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes. In such event, no prize of any kind will be awarded.
8. DATA PRIVACY:
By entering, Entrants agree that personal data (“Personal Data”), including, without limitation, the Entrants’ name and address, may be processed, shared and otherwise used for the purposes and within the context of the Sweepstakes and any other purposes outlined in these Official Rules. Entrants also agree that such Personal Data may also be used by the Sponsor in order to verify the participant’s identity, postal address, and telephone number or to otherwise verify the participant’s eligibility to participate in the Sweepstakes. While the Sponsor is committed to undertaking reasonable measures to protect the privacy, accuracy and reliability of the Personal Data submitted and to protect such information from loss, misuse, unauthorized access, disclosure, alteration and destruction, the Sponsor notes that the internet is not a perfect service medium and data transmission is not guaranteed to be secure. The Sponsor uses, and will use, a variety of security measures to insure the security of the Personal Data collected during the Sweepstakes. However, the Sponsor cannot and does not warrant the security of the Personal Data which is submitted as part of the Sweepstakes and cannot and does not warrant that such Personal Data will not be intercepted unlawfully by third parties. When any information is provided to the Sponsor as part of the Sweepstakes, including Personal Data, such submission is done at the Entrants own risk. The collection, use and disclosure of Personal Data about the Entrant is solely for the purpose of administering this Sweepstakes. Entrants’ personal information will be stored in accordance with the laws and rules of the United States, as applicable. The Personal Data will be held primarily in an electronic database. Each Entrant has certain rights to access and rectify the information contained in the file held about them and in order to exercise these rights, or to submit any questions, comments or concerns about this Sweepstakes, please contact the Sponsor at www.givingproject.com
9. PUBLICITY:
Except where prohibited by law, participation in the Sweepstakes by submitted an entry constitutes the Entrant’s consent for the Sponsor and its designees to use the Entrant’s name, likeness, prize information, City and State of residence for promotional purposes in any media without further consideration or notice to the Entrant.
10. LIMITATION OF LIABILITY:
Neither Sponsor, The Giving Project LLC the Promotion Entities nor any of their respective parents, subsidiaries or affiliated entities or any of their respective shareholders, officers, officers, directors, employees, agents, attorneys, successors and assigns (the “Released Parties”) shall be held responsible for, and Entrant hereby releases the Released Parties from any claims arising from or in any way relating to any errors or problems of any kind whether mechanical, human, technical, electronic or otherwise, including but not limited to: (i) the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the Entry process or the Sweepstakes; (iv) electronic or human error which may occur in the administration of the Sweepstakes or the processing of Entries; (v) printing, typographical or other errors appearing within these Official Rules or in any Sweepstakes-related advertisements or materials; (vi) any injury or damage to persons or property, including but not limited to Entrant’s computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes (vii) use of any prize and (viii) the judging process including the outcome of the Sweepstakes. In the event of any inconsistency or discrepancy between the terms and conditions of these Official Rules and statements contained in any sweepstakes-related materials, the terms and conditions of these Official Rules shall prevail, govern and control.
11. FORCE MAJEURE:
Sponsor reserves the right to cancel or modify the Sweepstakes if fraud or technical failures impair the integrity of the Sweepstakes as determined by the Sponsor, in its sole discretion, and may award any prize based on eligible Entries received prior to the cancellation.
In the event an insufficient number of eligible Entries are received and/or Sponsor is prevented from awarding the prize or continuing with the Sweepstakes as contemplated herein by any event beyond Sponsor’s control, including but not limited to, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes. If the Sweepstakes is terminated before the designated end date, Sponsor will (if possible) judge all eligible, non-suspect Entries received as of the date of the event giving rise to the termination. Inclusion in such judging shall be each Entrant’s sole and exclusive remedy under such circumstances.
12. GOVERNING LAW:
Except where prohibited, Entrant agrees that: (1) any and all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or any prizes awarded shall be resolved individually, without resort to any form of class action, and exclusively by court situated in the State of New York; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, but in no event attorneys’ fees; and (3) no punitive, incidental, special, consequential or other damages, including without limitation lost profits may be awarded (collectively, “Special Damages”), and (4) Entrants hereby waive all rights to claim Special Damages and all rights to have such damages multiplied or increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes shall be governed by, and construed in accordance with the laws of the State of New York without giving effect to any choice of law or conflict of law rules.
